1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of Sigma NGO (the "Platform"), operated as part of the Sigma AI Consulting ecosystem. By registering an account, accessing the Platform, or using any of its features, you agree to be bound by these Terms on behalf of yourself and the organization you represent. If you do not agree to these Terms, do not register for or use the Platform.

2. Eligibility & Organization Accounts

Sigma NGO accounts are registered to a single organization. The person completing registration represents and warrants that they are authorized to act on behalf of that organization and to accept these Terms on its behalf.

  • Each account is associated with one organization. If you support or work with multiple organizations, a separate account is required for each.
  • On the Team plan, an organization's administrator may invite additional team members, who act on behalf of that same organization and are bound by these Terms when they accept an invitation.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Description of Service

Sigma NGO provides two categories of functionality:

  • Funding Intelligence: aggregation, extraction, and fit-scoring of publicly available donor and funding announcements against an organization's self-declared profile.
  • Document Automation: AI-assisted drafting of proposals, donor reports, impact stories, AI use policies, beneficiary data risk assessments, terms of reference, job descriptions, and procurement documents, generated using an AI model accessed via the organization's own connected API key.

The Platform is a drafting and intelligence aid, not a substitute for professional judgment. Generated documents and fit scores are starting points. Your organization remains solely responsible for reviewing, verifying, and finalizing any document before submission to a donor, regulator, or other third party, and for independently confirming eligibility criteria for any funding opportunity.

4. Your Own AI API Key

Document generation and AI-assisted funding intelligence features require you to connect your own API key from a third-party AI provider ("AI Provider"). By connecting a key, you represent that:

  • You are authorized to use that key and that its use complies with your agreement with the AI Provider;
  • You understand that usage initiated through Sigma NGO is billed directly to your account with the AI Provider, and that Sigma NGO does not control, mark up, or refund AI Provider usage charges;
  • Your connected key is encrypted at rest and used solely to process your own organization's requests; it is never shared with, or used on behalf of, any other organization on the Platform.

You may replace or remove your connected API key at any time from your account settings. Removing your key will disable AI-dependent features until a new key is connected.

5. Plans, Billing & Payment

Sigma NGO is offered under multiple plan tiers (currently Starter, Professional, and Team), each with different feature access and team-seat limits as described on the Platform's pricing page. Plan fees, where applicable, cover access to Platform features and are separate from any AI Provider usage costs described in Section 4.

  • Plan billing is currently handled on an invoiced basis rather than automated recurring card billing. Specific invoicing terms, frequency, and payment instructions will be communicated directly to your organization upon plan selection or upgrade.
  • The Starter plan is offered at no cost and does not include AI-dependent document generation or automated funding feed discovery.
  • Plan features and pricing may change. Material changes affecting your current plan will be communicated in advance where reasonably possible.

6. Account Review & Approval

New organization registrations are reviewed before activation. Sigma NGO reserves the right, in its sole discretion, to approve, decline, or request additional information about any registration, in order to maintain the integrity and reliability of the funding intelligence shared across the Platform.

7. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose, or in a manner that violates the rights of any third party;
  • Misrepresent your organization's identity, eligibility, or activities when registering or completing your organization profile;
  • Attempt to access another organization's account, data, or connected API key;
  • Use the funding intelligence feed or generated documents to submit knowingly false, fraudulent, or materially misleading information to any donor, funder, or regulatory body;
  • Reverse engineer, scrape at scale, or attempt to circumvent technical or access limitations of the Platform;
  • Use the Platform to generate content involving the exploitation, sexualization, or endangerment of minors, or content otherwise prohibited under applicable law.

8. Your Content & Generated Documents

You retain ownership of the inputs you provide (organization details, program descriptions, beneficiary information you choose to enter, financial figures, and similar materials) and of the documents generated from those inputs through your use of the Platform.

  • You are solely responsible for ensuring you have appropriate rights, consents, and authorization to enter any information into the Platform, including beneficiary information used in impact stories or risk assessments.
  • Sigma NGO does not claim ownership over your organization's generated documents, but may retain copies as necessary to provide the Service (for example, document history within your account).
  • You are responsible for independently verifying the accuracy of any figures, claims, or financial reconciliations appearing in AI-generated content before relying on or submitting them.

9. Funding Intelligence Feed & Third-Party Data

The funding intelligence feed aggregates and summarizes information from publicly available third-party sources, including humanitarian and development sector announcement feeds. Sigma NGO does not control, verify, or guarantee the accuracy, completeness, or currency of third-party donor announcements, and fit scores are an automated estimate based on your organization profile, not a determination of eligibility.

You should always consult the donor's official materials directly before relying on extracted details such as deadlines, funding ceilings, or eligibility criteria.

10. Intellectual Property

The Platform, including its underlying methodology, scoring logic, document templates, interface design, and associated frameworks, is the intellectual property of Sigma AI Consulting and its founder, as further described in the Intellectual Property & Ownership Notice in the Platform footer. Except for the limited right to use the Platform as intended under these Terms, no license or other right in the Platform's underlying intellectual property is granted to you.

11. Disclaimers & No Warranty

The Platform, including all generated content and fit scores, is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Sigma NGO does not warrant that generated documents will be accepted by any donor, or that funding intelligence will surface every relevant opportunity.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Sigma AI Consulting and its affiliates, officers, and founder shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of funding, grant opportunity, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Platform, even if advised of the possibility of such damages.

13. Suspension & Termination

Sigma NGO may suspend or terminate your account's access to the Platform, with or without notice, for violation of these Terms, suspected fraudulent or unlawful activity, or non-payment of applicable fees. You may discontinue use of the Platform and request account closure at any time by contacting us.

14. Changes to These Terms

These Terms may be updated from time to time. Continued use of the Platform after an update constitutes acceptance of the revised Terms. Material changes will be reflected by an updated "Last updated" date above.

15. Governing Law

These Terms are governed by the laws applicable to Sigma AI Consulting's place of business, without regard to conflict-of-laws principles, except where mandatory local consumer or data protection law provides otherwise.
